Terms of Service

 

BY ACCESSING THE SITE OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND OUR PRIVACY POLICY.  IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS OF SERVICE AND PRIVACY POLICY, YOU MAY NOT ACCESS OR USE THE SITE OR USE THE SERVICES.

 

I. General Terms Applicable to Both Users and Organizations

 

The following terms and conditions in this Section I are applicable to both Users and Organizations. Sections II and III contain terms applicable to Users and terms applicable to Organizations, respectively. The terms and conditions in Sections II and III are part of this Terms of Service and will apply to Users or Organizations, as applicable, and are in addition to, and not in lieu of, the terms and conditions contained in Section I.

 

Volunteer Arlington, managed by Leadership Center for Excellence (“Volunteer Arlington,” “we” or “us”) provides information and other online services (collectively, the “Services”), including information about Volunteer Arlington and its services, at www.volunteer.leadercenter.org, or any other website owned or operated by Volunteer Arlington (collectively, the “Sites”) to Visitors and registered Users of our Sites under the following terms and conditions (“Terms of Service”) as set forth in this General Terms and Conditions of Use Agreement (“Agreement”).  This Agreement applies to the Sites and other online services of Volunteer Arlington.  You agree to be bound by this Agreement, whether You are a User or an Organization, as defined below. Volunteer Arlington reserves the right to modify or amend the Terms of Service and Privacy Policy from time to time, without notice.  You agree that You will review this Agreement regularly, so that You are aware of and agree to any and all modifications made to this Agreement.  Any modifications or amendments shall take immediate effect upon posting, and Your continued use of the Sites after such posting will mean that You agree to the changes. If You object to any such changes, Your sole recourse will be to cease using the Sites and Services. 

 

Description of Service

The services (the “Services”) are services offered through the Sites by Volunteer Arlington... The Services include any offerings on the Sites, including the Sites and the Content. The Services are available to prospective volunteers who register to use the Services (which means that You have established an account with Volunteer Arlington to use the Services (an “Account”)), donors who make contributions through the Sites, and any other individuals using the Sites (“Users”) and to legally incorporated nonprofit or government entities, schools, faith-based organizations, neighborhood associations recognized as such by the applicable city or county, and for-profit organizations that engage volunteers in direct client contact and any other entities using the Sites (“Organizations”); collectively, Organizations and Users shall be referred to as “You” or “you”. The Services are offered to more than one Organization; Organizations acknowledge that the Services are intended to facilitate Organizations’ abilities to connect with potential Users. Accordingly, these Terms of Service are non-exclusive, and nothing in these Terms of Service will be construed to prevent us from allowing other Organizations from participating in the Services. Visitors (which means that You simply browse the Sites) may browse the Sites in accordance with this Agreement and will not have access to certain Services without becoming a Registered User.

 

If You submit or otherwise provide information to Volunteer Arlington (including information to register or set up an Account, as described below), such information must be true, accurate, current and complete, and You shall maintain and promptly update such information to keep it true, accurate, current and complete, and the truth, accuracy, currency and completeness of such information is a condition to Your use of the Sites and Services.  If we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we may suspend or terminate Your use of the Sites or Services (or any portion thereof).

 

Security

You agree to comply with any rules of operation and security procedures for the Services established by us from time to time. You agree that you will not attempt to gain or allow access to any data, files or programs to which they are not entitled under these Terms of Service, and that if such access is obtained you will immediately return such materials to us.

Permission for Use of Likeness

For good and valuable consideration, the receipt of which is hereby acknowledged, I (on behalf of myself and/or my minor child whose name appears below) (collectively, “our” or “we”) grant to Volunteer Arlington, managed by Leadership Center for Excellence, and those acting under its permission or authority (collectively, “Volunteer Arlington”), the irrevocable royalty-free right and permission to record, copy, publicly display, publicly perform, publish, modify, use and reuse our voice, image, photograph, portrait, likeness, and biographical information, including portions, composites, likenesses or distortions or alterations of same (“Likeness”), in any materials to be shown in all media now known or hereafter devised, for an unlimited term, throughout the world. I acknowledge that we will not receive any compensation as a result of any use of our Likeness in such materials.  I waive any right to inspect or approve the finished materials, and release, waive and agree not to make any claim against Volunteer Arlington in connection with any use of the Likeness, including, without limitation, any claim that such use invades any right of privacy, publicity and/or personality, defamation, libel, moral right, and any other personal and/or property right under the law of any country or jurisdiction. This agreement shall inure to the benefit of and shall be binding upon the parties’ respective successors, licensees, assigns, heirs and personal representatives.

Termination

Except as provided herein, we may terminate Your use of the Sites and/or Your Account for any reason at any time.  You understand that termination of this Agreement and Your Account may involve deletion of Your information from our live databases as well as any content or information that You uploaded to the Sites using such Account.  YOU AGREE THAT WE WILL NOT BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY TERMINATION OF YOUR ACCESS TO THE SITE OR SERVICES OR DELETION OF YOUR ACCOUNT OR CONTENT UPLOADED BY YOU.

 

Intellectual Property Rights

You understand and acknowledge that the Sites, the contents of and information displayed on the Sites (including text, software (including source and object codes), visual, oral or other digital material, photographs, information, data, graphics and all other content of any description included in the Services, excluding information included in the definition of “your information” in the “Grant of License” section) (collectively, the “Content”), are protected by U.S. and international copyright laws, and are the property of the Volunteer Arlington and/or other parties. The downloading, reproduction, distribution, republication, uploading, transmission, or retransmission of, or creation of derivative works from, sale, rent, licensing, or transfer any of the Sites’ contents is strictly prohibited unless otherwise expressly indicated in these Terms of Service. The Sites may contain or reference trademarks, service marks, logos, patents, copyrighted materials, trade secrets, technologies, products, processes, compilations, database rights or other proprietary rights or intellectual property of Volunteer Arlington and/or other parties. No license to or right in any such trademarks, patents, copyrighted materials, compilations, databases, software, trade secrets, technologies, products, processes or other proprietary rights of intellectual property of Volunteer Arlington and/or other parties is granted to or conferred upon You, unless otherwise expressly indicated in these Terms of Service.  All rights not expressly granted are reserved.

 

Grant of License

You irrevocably grant us a nonexclusive, royalty-free, world-wide and perpetual right and license to (a) copy, display, disseminate, publish, translate, modify, reformat, edit or create derivative works from anything that you publish or post on the Sites (“your information”); (b) combine your information with other material; (c) use (in the broadest sense of the word) your information as we may determine in our sole discretion; and (d) disclose your information subject to the terms of the Privacy Policy, as we may update it from time to time.

 

As a user of this Sites, you are granted a personal, nonexclusive, nontransferable, nonassignable, revocable, limited license to access and use the Sites, Services and Content for your Personal Use only and not for commercial purposes. “Personal Use” means your use for non-profit or educational purposes, but DOES NOT include (a) any activity or use that is in competition with us, (b) using the Content, or parts of the Content, to create your own database, (c) using the Content, or parts of the Content, for financial or other gain for any party, individual or entity, or (d) the posting, publication, transmission, or dissemination of the Content, or parts of the Content, in digital or electronic form by means of the World Wide Web, electronic mail, any online services, or any other medium now existing or hereafter developed. We reserve the right, in our sole discretion, to deny use of the Sites or Services to anyone for any reason. You acknowledge and agree that we, in our sole discretion, at any time and with or without notice, may block or terminate Your or any other party’s access to all or part of the Sites or Services, or change or discontinue any aspect or feature of the Sites or Services (including, without limitation, discontinuing any of the Sites or Services in their entirety); and that, without limitation of any other provisions of this Agreement, we reserve the right to take any actions at law or in equity that we deem appropriate in connection with the Sites, Services and this Agreement.

 

Conduct

You are solely responsible for your information and warrant that you have all legal rights and licenses necessary for you to grant us a license to your information. Use of the Sites or Services for any illegal purpose is strictly prohibited and a violation of these Terms of Service. In connection with your use of the Sites and the Services, you will not: (a) act in an unwanted, threatening, harassing, abusive or offensive manner toward any user; (b) use any the Services for political, commercial or advertising purposes; (c) harm or exploit minors in any way, which includes requesting personal or other information; (d) post, submit or otherwise do anything with the Services, Content, or Sites that is unlawful, harmful, tortious, defamatory, profane, obscene, libelous, or hateful to the average user; (e) act in a racially, ethnically, or otherwise objectionable manner; (f) collect or store personal data about other users without their consent, or otherwise prepares, compiles, uses, downloads or copies any user information and/or usage information or any portion thereof, or transmits, provides or otherwise distributes (whether or not for a fee) such information to any third party; (g) post or reference indecent or pornographic materials (whether in visual, textual, or audio format); (h) discuss, incite or otherwise solicit illegal activity; (i) violate or infringe upon the confidentiality, or proprietary or other rights, of any individual or third party, (j) send any communications to any user for any purpose other than Personal Use; or (k) transmit fraudulent, deceptive, or misleading communications or intercept or attempt to intercept email or other private communications not intended for you, (l) impersonate any person or entity, misrepresent Your affiliation with a person or entity, or otherwise create a false identity for the purpose of misleading others, (m) infringe someone else’s patent, trademark, trade secret, copyright or other intellectual property or other right, (n) send or post any material that constitutes unsolicited or unauthorized advertising, junk or bulk email (spam), chain letters, or any other unsolicited commercial or non-commercial communication; and (o) transmit any material or communications that contain a petitions for signatures, chain letters or letters relating to a pyramid scheme. In addition, by posting your information to the Sites, you represent that you have all necessary rights in and to your information, and that your information will not infringe on any personal or proprietary rights of any third parties.

 

You agree that You will not use any device, software or other instrumentality to interfere or attempt to interfere with the proper working of the Sites, including through the upload or other transmission of any software viruses, worms, time bombs, corrupted files, Trojan horses or any other computer code, files, or programs that are designed or intended to disrupt, damage, overburden, impair or limit the functioning of any software, hardware, network, server or communications systems or equipment or use any robot, spider, or other such programmatic or automatic device, including but not limited to automated dial-in or inquiry devices, to obtain information from the Sites or otherwise monitor or copy any portion of the Sites, products and/or Services. You further agree that You will not take any action that imposes an unreasonable or disproportionately large load on our infrastructure. In addition, You agree that You will not use any robot, spider, other automatic device, or manual process to frame, scrape (including through the use of any data mining, or similar data gathering and extraction methods), monitor or copy the Sites or the content contained herein, or change, modify, adapt, or otherwise alter the Sites, or change, modify, or alter another website so as to falsely imply that it is associated with the Sites, without the prior express consent from an authorized Volunteer Arlington representative (such consent is deemed given for standard search engine technology employed by Internet search websites to direct Internet users to this Sites).

 

Links

Links to all third-party websites are provided solely as a convenience to you and not as an endorsement by us or by the operator of the website of the third party or of the content contained on the third-party websites. We do not monitor third-party websites. We do not assume any responsibility for the content of linked third-party websites or make any representation regarding the accuracy of materials on such third-party websites. If you choose to access a linked third-party websites, you do so at your own risk.

 

Inaccuracies

Information and content on the Sites may contain technical inaccuracies and typographical errors. You agree that We are not responsible or liable for any such inaccuracies, errors or omissions, and shall have no obligation related to information affected by such inaccuracies. We reserve the right to make changes, corrections, cancellations and/or improvements to information and contents on the Sites, and to the services, products and programs described in such information therein, at any time without notice, including after confirmation of a transaction.

 

Privacy Policy

If You would like to view the privacy practices that govern the Sites please review our Privacy Policy. All information we collect on the Sites, including through the registration process, will be treated in accordance with our Privacy Policy, located on the Sites and incorporated by this reference into this Agreement.  If You use the Sites and/or Services, You accept the terms and conditions of our Privacy Policy, and consent to all actions we take with respect to Your information consistent with our Privacy Policy.  If You do not agree to have Your information used in any of the ways described in the Privacy Policy, You must discontinue use of the Sites and the Services, and not provide Volunteer Arlington with any personal information.

 

Copyright Infringement

We respect the intellectual property of others, and we ask You to do the same.  If You believe that Your work has been copied in a way that constitutes copyright infringement on the Sites, please provide our Copyright Agent the following information:

              a.              An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;

                b.            A specific description of the copyrighted work that You claim has been infringed;

                c.             A specific description of where the material that You claim is infringing is located on the Sites or Services;

                d.            Your name, address, telephone number, and email address;

                e.            A written statement by You that You have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and

                f.             A written statement by You, made under penalty of perjury, that all of the above information in Your notice is accurate and that You are the copyright owner or authorized to act on the copyright owner’s behalf.

 

Our Copyright Agent for notice of claims of copyright infringement on the Sites or Services can be reached by directing an email to volarl@leadercenter.org. It is our policy to terminate the user accounts of repeat infringers.

 

Disclaimers

THE SERVICES AND THE CONTENT ARE PROVIDED ON AN "AS IS" BASIS. WE AND OUR LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, PERFORMANCE, ACCURACY OR INTEGRATION.

 

NEITHER WE NOR OUR LICENSORS MAKE ANY REPRESENTATION, WARRANTY OR GUARANTEE (1) REGARDING THE RELIABILITY, USEFULNESS, ADEQUACY, SUITABILITY, COMPLETENESS, TIMELINESS, OR VALIDITY OF THE SERVICES OR THE CONTENT, NOR (2) THAT THE SITES OR THE SITE THAT HOSTS THE SITES ARE FREE FROM ANY COMPUTER VIRUSES, "WORMS" OR "TROJAN HORSES," ANY OTHER TYPE OF DESTRUCTIVE OR MALICIOUS COMPUTER CODE (BY WHATEVER NAME IT IS CALLED), OR ANY UNAUTHORIZED COMPUTER CODE WHICH IS ATTACHED TO, OR MADE A PART OF, THE SERVICES OR THE CONTENT BY ANY PERSON, GROUP OR ORGANIZATION. NEITHER WE NOR OUR LICENSORS ARE RESPONSIBLE FOR THE CONTENT OF ANY INFORMATION, COMMUNICATION, OR MATERIAL DEVELOPED, POSTED, OR UPLOADED BY A THIRD PARTY. NEITHER WE NOR OUR LICENSORS EDIT OR CONTROL SUCH INFORMATION, COMMUNICATION OR MATERIAL, OR HAVE ANY RESPONSIBILITY TO YOU OR ANY OTHER PARTY FOR THE CONTENT OF ANY INFORMATION, COMMUNICATION, OR MATERIAL ON THIS SITES, INCLUDING BUT NOT LIMITED TO ERRORS OR OMISSIONS.

 

No Endorsement

We provide the Services in conjunction with the operator of the Sites as a convenience to the public. The Services are solely for the purposes of allowing Users and Organizations to communicate regarding various volunteer or donation opportunities. The inclusion of any organization, including without limitation Organizations, or person, including without limitation a User, in the Services or the Content does not constitute a representation, warranty, or endorsement with respect to the competence, suitability, or reliability of such organization or person by us. Your contact with any such organization or person is at your own risk, and we are not liable for any damage, loss or injury resulting from your contact with any such organization or person. You agree that we are not endorsing, sponsoring or otherwise participating in the actual volunteer or donation opportunities provided through the Services.

 

Indemnity

To the extent permitted by law, You agree to indemnify, defend and hold harmless Volunteer Arlington, its parents, subsidiaries, affiliates, officers, directors, licensors, co-branders, suppliers, and other partners, employees, consultants and agents, together with all of their respective officers, directors, employees and consultants, from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees and court costs) that such parties may incur as a result of or arising from (a) any information You submit, post or transmit through the Sites or Services, (b) Your use of the Sites or Services, (c) Your violation of this Agreement, (d) Your violation of any rights of any other person or entity or (e) any viruses, Trojan horses, worms, time bombs, cancelbots or other similar harmful or deleterious programming routines input by You into the Services. We reserve the right to exclusively defend and control any such indemnification matters; and that You will fully cooperate with Volunteer Arlington in any such defense.

 

Limitation of Liability

NEITHER WE NOR ANY OF OUR LICENSORS SHALL BE LIABLE, UNDER ANY CIRCUMSTANCES, FOR ANY LOSS, INJURY, CLAIM, LIABILITY OR DAMAGE OF ANY KIND RESULTING FROM YOUR USE OF THE SERVICES OR CONTENT. WE AND OUR LICENSORS DISCLAIM ALL RESPONSIBILITY FOR ANY LOSS, INJURY, CLAIM, LIABILITY OR DAMAGE OF ANY KIND, INCLUDING INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, ATTORNEYS' FEES AND EXPENSES), RESULTING FROM, ARISING OUT OF OR IN ANY WAY RELATED TO THE SERVICES OR THE CONTENT, INCLUDING, WITHOUT LIMITATION, (A) ANY THIRD PARTY SITES, SERVICES OR CONTENT DIRECTLY OR INDIRECTLY ACCESSED THROUGH THE SERVICES (INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN THE SERVICES); (B) THE TERMINATION OF YOUR ACCESS TO THE SERVICES; (C) ANY ERRORS IN, OR OMISSIONS FROM, THE CONTENT (INCLUDING, BUT NOT LIMITED TO, TECHNICAL INACCURACIES AND TYPOGRAPHICAL ERRORS); (D) THE COMPLETE OR PARTIAL UNAVAILABILITY OF THE SERVICES OR THE CONTENT; (E) YOUR USE OF, OR INABILITY TO USE, THE SERVICES; (F) YOUR USE OF ANY EQUIPMENT OR SOFTWARE IN CONNECTION WITH THE SERVICES; OR (G) ANY COMPUTER VIRUSES, "WORMS" OR "TROJAN HORSES," ANY OTHER TYPE OF DESTRUCTIVE OR MALICIOUS COMPUTER CODE (BY WHATEVER NAME IT IS CALLED), OR ANY UNAUTHORIZED COMPUTER CODE WHICH IS ATTACHED TO, OR MADE A PART OF, THE SERVICES OR THE CONTENT BY ANY PERSON, GROUP OR ORGANIZATION.

 

IF YOU SHOULD BECOME ENTITLED TO CLAIM DAMAGES FROM US (INCLUDING, BUT NOT LIMITED TO, FOR NEGLIGENCE, STRICT LIABILITY, BREACH OF CONTRACT, MISREPRESENTATION AND OTHER CONTRACT OR TORT CLAIMS) WE WILL BE LIABLE ONLY FOR THE AMOUNT OF YOUR ACTUAL DIRECT DAMAGES, NOT TO EXCEED (IN THE AGGREGATE FOR ALL CLAIMS) THE AMOUNT YOU DONATED TO DURING THE THREE (3) MONTHS PRIOR TO THE DATE ON WHICH THE EVENT GIVING RISE TO THE CLAIM OCCURRED.

 

The parties agree that the foregoing limitations will not be read so as to limit any liability to an extent that would not be permitted under applicable law.

 

We have the right to fully cooperate with any law enforcement authorities or court order requesting or directing Volunteer Arlington to disclose the identity or other information of anyone using or posting any materials on or through the Sites. We will disclose any information regarding Your use of the Sites, including personal information pertaining to You, without Your permission when required by law, or in the good faith belief that such action is necessary to investigate or protect against harmful activities to Volunteer Arlington (including the Sites) or to others. YOU WAIVE AND HOLD VOLUNTEER ARLINGTON HARMLESS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

 

Restrictions on Linking and Framing Activities

We are concerned about the integrity of the Sites when it is accessed in a manner solely determined by third parties or viewed in a setting solely created by third parties. Therefore, we prohibit caching, unauthorized hypertext links to the Sites, and framing any Content available through the Sites. We reserve the right to disable any unauthorized links or frames and specifically disclaim any responsibility for the content available on any other Internet sites linked to the Sites. Access to any other Internet sites linked to the Sites is at the User or Organization’s own risk.

 

Authorized Third Parties

We reserve the right to allow third parties to provide any necessary services to us and/or to users to enable us to provide the Services.

 

Remedies for Violations

We reserve the right to seek any and all remedies available at law, in equity or otherwise for violations of these Terms of Service, including, but not limited to, the right to block access to the Services from a particular Internet address.

 

Governing Law and Jurisdiction

These Terms of Service are governed by, and construed in accordance with, the laws of the U.S. and the Commonwealth of Virginia, without giving effect to its conflicts-of-law principles. You agree to submit to the personal jurisdiction of the federal and state courts located in the Commonwealth of Virginia with respect to any legal proceedings that may arise in connection with the Services or from a dispute as to the interpretation or breach of these Terms of Service.

 

Access Outside the United States

We do not represent that the Services or the Content are appropriate or available for use in countries outside the U.S. If you choose to access or use the Services from outside the U.S., you are responsible for compliance with foreign and local laws, if applicable.

 

General

These Terms of Service constitute the entire agreement with respect to your access to, and use of, the Services. If any provision of these Terms of Service is unlawful, void or unenforceable, then that provision shall be deemed severable from the remaining provisions and shall not affect their validity and enforceability. Our failure to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision.  You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to Your use of the Sites or Services or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred. 

 

We reserve the right to change these Terms of Service at any time. Any changes to these Terms of Service are effective immediately. You are responsible for regularly reviewing these Terms of Service. Continued use of the Service after any such changes constitutes your consent to such changes.

 

This Agreement may not be modified, in whole or in part, except by Volunteer Arlington and as otherwise might be specifically described elsewhere in this Agreement; and anything contained on or provided through this site that is inconsistent with or conflicts with the terms of this Agreement is superseded by the terms of this Agreement.

 

The section headings in these Terms of Service are used solely for convenience and have no legal or contractual significance.

 

Notwithstanding any other provisions of these Terms of Service or any general legal principles to the contrary, any provision of these Terms of Service that imposes or contemplates continuing obligations on a party will survive the expiration or termination of these Terms of Service.

 

II. Terms Applicable Specifically to Users

 

Registration; Password and Access to the Service

Certain Services are only available to users who are required to set up an Account prior to accessing such Services (“Registered Users”).  Your registration constitutes an application to create an Account to use certain Services. When you register, you agree to provide us with accurate, complete information. It is your responsibility to inform us of any changes to such information. You will create a password to access the Services. You are responsible for all use of the Services by anyone accessing the Services through your password, and you will defend, indemnify and hold us harmless from and against any and all claims, liabilities or expenses arising out of any such use of the Services.

 

Account

When You set up an Account, You are required to enter Name, Address, Email, Age and Password (collectively, “User Account Information”).  You may not transfer or share Your Account Information with anyone except for authorized individuals within Your family or business, as appropriate. You are solely responsible for maintaining the confidentiality of Your Account Information, and You are fully and solely responsible for all activities that occur under Your Password or User Account Information.  You must ensure that You exit from Your Account at the end of each session.  You agree to immediately notify Volunteer Arlington of any unauthorized use of Your User Account Information or any other breach of security.  We strongly recommend that You change Your Password on a periodic basis and whenever You suspect that knowledge of the Password has been compromised. It is Your responsibility to protect the confidentiality of the Password. We assume no liability for any access to information that is executed with the Password chosen by You.

You are solely responsible for any and all use of Your Account.  Without limiting any rights which Volunteer Arlington may otherwise have, Volunteer Arlington reserves the right to take any and all action, as it deems necessary or reasonable, to ensure the security of the Sites and Your Account, including, without limitation, terminating Your Account, changing Your Password, or requesting additional information to authorize transactions on Your Account.  Notwithstanding the above, Volunteer Arlington may rely on the authority of anyone accessing Your Account or using Your Password and in no event and under no circumstances shall Volunteer Arlington be held liable to You for any liabilities or damages resulting from or arising out of (i) any action or inaction of Volunteer Arlington under this provision, (ii) any compromise of the confidentiality of Your Account or Password, and (iii) any unauthorized access to Your Account or use of Your Password.  You may not use anyone else’s Account at any time without the permission of the Account holder.

 

 

III. Terms Applicable Specifically to Organizations

 

Registration; Password and Access to the Service

Your registration constitutes an application to use the Services as an Organization. After you register, we review your application to determine your eligibility to use these Services. We also review any volunteer opportunities you provide us from time to time for eligibility for inclusion in the listing of opportunities available to the public. The review process generally takes about two business days but may be longer.

 

Account

When You set up an Account, You are required to enter Organization Name, Address, Phone, Primary Contact Name, Phone, Email, Password (collectively, “Organization Account Information”).  You may not transfer or share Your Organization Account Information with anyone except for authorized individuals within Your family or business, as appropriate. You are solely responsible for maintaining the confidentiality of Your Organization Account Information, and You are fully and solely responsible for all activities that occur under Your Password or Organization Account Information.  You must ensure that You exit from Your Account at the end of each session.  You agree to immediately notify Volunteer Arlington of any unauthorized use of Your Account Information or any other breach of security.  We strongly recommend that You change Your Password on a periodic basis and whenever You suspect that knowledge of the Password has been compromised. It is Your responsibility to protect the confidentiality of the Password. We assume no liability for any access to information that is executed with the Password chosen by You.

Term

The initial term of these Terms of Service for Your registration will expire twelve (12) months after the Effective Date (the “Term”). The Effective Date will be the date on which we grant our approval at the conclusion of the review process. The Term will automatically renew for successive one (1) year periods, unless one of us provides the other with written notice at least thirty (30) calendar days prior to the expiration of the then current Term that it does not wish for these Terms of Service to be renewed; provided, however, that if you do not update your information on the Sites during any consecutive twelve (12) month period, these Terms of Service will automatically terminate at the end of such twelve (12) month period.

 

Indemnification

In addition to the indemnity specified above, the Organization agrees that it will indemnify, defend and hold us harmless from any and all claims or suits (including, without limitation, reasonable legal fees and expenses) that are brought by a User or any other third party that is related to or arises out of opportunities or services provided by such Organization.

 

Warranty by Organization

Organizations that list opportunities with us represent and warrant that they are either (a) legally incorporated nonprofit or government entities, schools, faith-based organizations, neighborhood associations recognized as such by the applicable city or county, or (b) for-profit organizations that engage volunteers in direct client contact.

 

Limitation of Liability

In addition to the limitation of liability provision above, the following limitation of liability applies. UNDER NO CIRCUMSTANCES SHALL WE BE LIABLE FOR ANY LOSS, INJURY, CLAIM, LIABILITY OR DAMAGE OF ANY KIND RESULTING FROM YOUR USE OF THE SERVICES OR CONTENT. WE DISCLAIM ALL RESPONSIBILITY FOR ANY LOSS, INJURY, CLAIM, LIABILITY OR DAMAGE OF ANY KIND, INCLUDING INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, ATTORNEYS' FEES AND EXPENSES), RESULTING FROM, ARISING OUT OF OR IN ANY WAY RELATED TO THE SERVICES OR THE CONTENT, INCLUDING, WITHOUT LIMITATION, ANY ACTIONS TAKEN OR OMISSIONS MADE BY ANY USER, INCLUDING, WITHOUT LIMITATION, ANY ACTIONS TAKEN OR OMISSIONS MADE IN THE COURSE OF ANY USER’S PERFORMANCE OF SERVICES FOR YOU AS A DIRECT OR INDIRECT RESULT OF THE SERVICE.

 

Independent Contractors

Our relationship is that of independent contractors. These Terms of Service shall not be construed as creating an employer/employee, agency or joint venture relationship between the parties.

Volunteer Arlington, managed by Leadership Center for Excellence (“Volunteer Arlington,” “we” or “us”) is committed to protecting your privacy. Because your privacy is important to us, we have adopted and implemented this Privacy Policy as part of our commitment to protect your personally identifiable information. Volunteer Arlington uses reasonable commercial efforts to avoid disclosure of information which is confidential, privileged or nonpublic other than in accordance with this Privacy Policy. This Policy applies only to information we collect on our website (currently located at volunteer.leadercenter.org) and any other website or application owned or operated by Volunteer Arlington (collectively, “Sites”). 

Volunteer Arlington takes a number of steps to ensure the confidentiality of your personal information is adequately safeguarded. Volunteer Arlington's employees are required to acknowledge their responsibility to maintain the confidentiality of customer information.

What information Volunteer Arlington collects and how is it used:

General Information:

To monitor site usage and improve the quality of our Sites, we gather general information about the use of our Sites. We use web server logs and industry-standard website statistics software to count the number and audience characteristics of users who visit our Sites and to count the number of views of particular pages, as well as to track other general statistics about our Sites. We may collect statistical information about internet connection information, equipment used to access our website (such as operating systems or browser types), geo-location data, referring websites, and user queries. We do not track individual users’ visits to our Sites.

Personal Information: When you browse our Sites, we do not collect personally identifiable information about you unless you voluntarily provide it to us. This means that we will not know your personal information just because you browse our Sites unless you have registered and created an account, and login when you access the Sites or access the Sites from a link in an email that we sent to you. Volunteer Arlington may collect and see your personal information if you register to use our site or if you choose to opt in to receive and/or send email messages from/to Volunteer Arlington. When you register to use our site, you must complete a form about yourself. Our registration process asks you to provide us with a variety of personal information which may include, without limitation, your name, postal address, email address, telephone number(s), date of birth, gender, financial information (credit cards, bank accounts etc.), insurance data, and experience/interests ("Personal Information").Volunteer Arlington stores this information in a database.

If you choose to opt in to receive email messages from Volunteer Arlington, Volunteer Arlington uses your email address and the stated preferences in your individual profile to send you email messages about volunteer opportunities that may be of interest to you and to inform you about new features or services offered by our Sites. Volunteer Arlington uses the stated preferences in your individual profile to tailor your experience at our site. For example, Volunteer Arlington may provide you with customized content based on the stated preferences in your individual profile.

Your Personal Information is necessary in order for Volunteer Arlington to send you emails or other communications or to provide you access to your account information. Therefore, if you delete such necessary information we may not be able to provide you with certain services.

Use of Your Information

Volunteer Arlington may use the information that Volunteer Arlington collects from you as follows:

  1. to use the information in connection with providing you and charitable organizations services through the Web Site, including processing transactions and matching you with volunteer opportunities;
  2. to protect the Web Site against unauthorized access by verifying the identity of users using the Web Site;
  3. to improve our Web Site’s content, including using aggregate information Volunteer Arlington collects from you and other users to help us improve the design of our Sites and to report on the status of volunteerism in various communities.
  4. to use your IP address (the number assigned to your computer while it is logged on to the Internet) to diagnose problems with the server or to administer the Web Site.
  5. To contact you via email or postal mail regarding services provided by Volunteer Arlington and fundraising opportunities

Disclosure of Information to Third Parties

Except as provided in this Privacy Policy, Volunteer Arlington will not disclose, sell or rent information we collect from you to any third party unless you specifically request that we share your information with a third party, nor will we use information we collect from you to market services or products to you if you have not previously expressed an interest in such services or products.

We may disclose Personal Information to third parties in certain situations. You hereby consent to our sharing of Personal Information for the following purposes:

                •              To third parties (including organizations who solicit volunteer assistance and our Site administrators and programmers) who help us make the Sites or our services available or who support our organization’s charitable efforts;

                •              If we believe in good faith that such disclosure is necessary to: (a) resolve disputes, investigate problems, or enforce our Terms of Use; (b) comply with applicable laws or respond to requests from law enforcement or other government officials; or (c) protect or defend the rights or property of Volunteer Arlington, you, or third parties. This includes, without limitation, exchanging information with other companies and organizations for fraud protection.

                •              If Volunteer Arlington merges or is combined with any other organization, or if we transfer all or substantially all of our assets or operations to another organization, we may disclose information we collect from you to the other organization so that the other organization can continue to provide services to you. The other organization will be bound by this Privacy Policy.

                •              Through cookies and pixel tags, as described below.

                •              We may also share Your information otherwise with Your consent; except as set forth in this Privacy Policy, you will be notified when your Personal Information may be shared with third parties, and will be given the option to prevent the sharing of this information.

If you do not want us to use or share your information as described above, you may choose not to provide us with your information by not registering with us or by modifying your information as provided in your registration. If you choose not to provide us with your information, you will not enjoy all of the services offered through our Sites.

Cookies and Pixel Tags

Our site places a small text file called a "cookie" on your computer’s hard drive for record keeping purposes. Cookies enable us to identify you when you revisit our web site so that you do not need to re-enter your password. Cookies also allow us to track how long it has been since you last visited our site. Pixel tags are small strings of HTML or JavaScript code that provide a method for delivering a graphic image on a Web page or other document. Pixel tags may also be used to obtain information about the computer being used to view that Web page such as the IP address of the computer that the tag is sent to, the time it was sent, the user's operating system and browser type, and similar information.

We use information collected at various times and by pixel tags and cookies placed on several Web sites in order to deliver our service to advertisers and create a more targeted advertising experience for the user.

Collection of Information from Children:

Volunteer Arlington respects the sensitive nature of children’s privacy online. Our Sites are general information websites and applications and are not directed toward children under the age of 13. Some of the information collected by the Sites from parents and legal guardians about children may include “personal information,” as that term is defined under the Children’s Online Privacy Protection Act (“COPPA”) of 1998, as amended in December of 2012 (15 U.S.C. 6501 et seq.). Volunteer Arlington, however, is a nonprofit organization and, therefore, is not subject to COPPA.

Although we are exempt from COPPA, we still take steps to protect children who access and use the Sites as outlined below. You must be at least 13 years old to register to use our Sites. If we learn that a registered user of our Sites is under 13 years of age, we will promptly delete any personally identifiable information we have collected about that user. If you are under the age of 13, please do not send us any information about yourself. Parents and legal guardians may sign their children under age 13 up for family volunteer opportunities; we do collect personal information about such children for these purposes but we only do so if the child’s parent or guardian has directly submitted the information. If we have collected personal information about a child, that child’s parent or legal guardian may delete such information by logging into their account and modifying the information provided, or by contacting Volunteer Arlington (volarl@leadercenter.org/703-528-2522) at any time to review what has been collected or to direct the deletion of the information, or to tell us to stop any further collection or use of that information. A parent or guardian contacting us by e-mail should include the parent's return e-mail address and the first name of the child so that we can better handle the communication.

How you can "opt out" of receiving communications from us:

It is our intention to only send you email communications that you want to receive. When you provide us with your email address by creating an account on the Sites, we will periodically contact you via email about Volunteer Arlington programs and services. Data Security Commitment:

To prevent unauthorized access, maintain data accuracy, and help ensure the correct use of information, Volunteer Arlington has put in place appropriate and reasonable physical, electronic, and administrative procedures to safeguard and secure the information we collect online for reasonable foreseable risk. In addition, Volunteer Arlington uses firewalls to help prevent outside parties from accessing our database server through the Internet, and physical access to the database server is restricted to authorized individuals. However, due to the open communication nature of the Internet we cannot guarantee that communication between you and us and us and you will be free from unauthorized access by third parties.
